1. Professional Services & Legal Advice Disclaimer

Tax laws in Kenya (including the Income Tax Act, VAT Act, and annual Finance Acts) and statutory regulations change frequently. While our team makes every reasonable effort to keep calculators updated to current 2026 gazetted rates, you must not use our outputs as a substitute for professional verification. When filing statutory returns, defending a KRA tax assessment, or executing major commercial contracts, you should consult an accredited CPA or Advocate (such as those listed in our Verified Partner Directory).

2. Permitted Use of Calculators & Tools

You are granted a non-exclusive, revocable, non-transferable license to use our free calculators and utilities for your business operations. You agree not to:

• Reverse engineer, scrape, or extract calculator algorithms or proprietary code.
• Misrepresent outputs generated by our invoice tool or calculators as official government receipts or statutory tax compliance certificates.
• Use the platform for any fraudulent or unlawful commercial activity under the laws of Kenya.

3. MSME Credit Wallet & Pay-Per-Use Terms

To ensure affordability for micro, small, and medium-sized enterprises (MSMEs), Biashara Professionals operates a pay-as-you-go digital credit system for specialized document generators, custom contracts, and Aheri Systems software modules.

4. B2B Directory & Commercial Supplier Terms (Verified Partners vs. Standard Listings)

Biashara Professionals operates a dual-tier business-to-business (B2B) directory comprising accredited Verified Partners and public Standard Listings across commercial supplies, equipment distribution, freight, and professional services. By utilizing this directory, submitting inquiries, or listing an enterprise, all users and businesses explicitly acknowledge and agree to the following legal terms:

• Platform Role (Neutral Directory & Discovery Only): Biashara Professionals and Aheri Systems act solely as a discovery, introductory, and procurement routing platform. We are not a supplier, merchant, distributor, broker, law firm, accounting firm, or contracting party to any transaction initiated through the directory. We do not inspect physical goods, warrant warehouse stock, or supervise commercial service execution.
• Verified Partners vs. Standard Listings (Vetting Scope):
  • Verified Partners (Vetted): These entities have submitted documentation and undergone preliminary verification of their Business Registration Service (BRS) status, relevant professional/regulatory standing (e.g. ICPAK, LSK, KEBS, EPRA), and confirmed physical commercial premises in Kenya. Biashara Professionals maintains direct contact with verified partners.
  • Standard Directory Listings (Unvetted Public Index): These entries are aggregated from public commercial records or self-submitted for business discovery. Biashara Professionals has NOT audited, validated, or verified their regulatory status, tax compliance, financial solvency, or trade reliability.
• Buyer's Mandatory Due Diligence: Every buyer, business owner, or user agrees that they bear sole and exclusive responsibility for conducting independent due diligence prior to engaging any listed entity, issuing purchase orders, executing contracts, or transferring funds. Mandatory due diligence actions include, but are not limited to: conducting an official company search on eCitizen (BRS), validating regulatory certifications, conducting physical site inspections, executing bilateral written contracts, and utilizing milestone-based payments or verified escrow facilities.
• Total Disclaimer of Commercial Liability: To the maximum extent permitted by the laws of Kenya, Biashara Professionals and Aheri Systems expressly disclaim any and all liability—civil, contractual, tortious, or financial—arising from any commercial transaction, dispute, defective merchandise, non-delivery, delayed shipment, fraud, breach of warranty, or insolvency involving any listed entity (whether a Verified Partner or a Standard Listing). All commercial contracts, payments, and deliverables exist strictly and bilaterally between the buyer and the vendor off-platform.
• Goodwill Follow-Up Facilitation (Verified Partners Only): For Verified Partners, Biashara Professionals may make reasonable commercial efforts to facilitate dialogue or follow up on unresolved communications when notified by a user. This facilitation is provided strictly on a voluntary, best-efforts courtesy basis and shall NOT be construed as an assumption of liability, legal agency, dispute arbitration, warranty, or insurance policy.
• Partner Warranties & Directory Fees: Verified Partners explicitly warrant that their company details, practicing licenses, regulatory accreditations, and physical premises representations are accurate and in full compliance with Kenyan law. The annual partner listing fee paid covers vetting administration, directory hosting, and platform distribution; it does not constitute an endorsement, guarantee of client volume, or warranty of specific commercial outcomes.

5. Event Promotion & Listing Terms

Event organizers listing business conferences, workshops, trade expos, or founder roundtables agree that all listings are subject to editorial review before going live. We reserve the right to decline or unpublish any event that promotes deceptive multi-level marketing, unauthorized financial schemes, or violates the Consumer Protection Act of Kenya. Listing promotional fees (where applicable) are non-refundable once an event is published and live on the calendar.

6. Intellectual Property & Systems

All content, layout designs, software applications, calculators, algorithms, brand assets, and editorial guides published on Biashara Professionals are the intellectual property of Aheri Systems, protected under the Copyright Act (Cap. 130) and the Industrial Property Act of Kenya.

7. Limitation of Liability

To the maximum extent permitted by Kenyan commercial law, Biashara Professionals, Aheri Systems, its directors, developers, and authors shall not be liable for any indirect, incidental, punitive, or consequential damages (including lost profits, business interruption, or statutory default penalties) resulting from your reliance on calculator outputs, guides, or partner consultations.

8. Governing Law & Dispute Resolution

These Terms of Service are governed by and construed in accordance with the Laws of the Republic of Kenya. Any dispute arising under or in connection with these terms shall be subject to amicable settlement within 30 days, failing which it shall be referred to the exclusive jurisdiction of the competent Courts of Kenya sitting in Nairobi.
